The issuer is solely responsible for the content of this announcement. —————————————————————————— Capitalization Biotest AG increases capital stock by EUR 2.92 million euro Dreieich, June 30, 2005. Biotest AG is increasing its share capital by 2.92 million euro to 23.40 million euro by issuing 1.14 million new ordinary shares. Biotest will thus receive fresh money for the accelerated development of monoclonal antibodies while simultaneously cutting financial debt. With the approval of the Supervisory Board the Executive Board of Biotest AG decided today the partial use of Authorised Capital excluding shareholders’ subscription rights. 570.000 new ordinary shares with an imputed interest of 1.46 million euro (6.24%) in the share capital were subscribed by a German financial investor against a cash contribution of 10.01 million euro. Additional 569.150 new ordinary shares were subscribed by Dr. Schleussner family, who previously held 60% and now holds 57.8% of ordinary shares from the conversion of a shareholder loan totaling 10 million euro. These measures have lifted the Biotest group’s equity ratio from 30.8% (as per March 31, 2005) to more than 36%. The issuing price was fixed in line with the statutory provisions with a discount of 5% compared to the average stock market price for the previous five trading days. The company’s new share capital totaling 23.40 million euro comprises 5.14 million ordinary shares and 4.0 million preferred shares, each with a proportionate interest of 2.56 euro.
