Subject: Intimation pursuant to Regulation 29(1) of SEBI Listing Regulations

This is further to our letter dated April 23, 2026, intimating the date of Board meeting to be held on May 07, 2026. Pursuant to Regulation 29(1) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), we hereby inform you that the Board of Directors of the Company at the aforesaid meeting shall also consider investment in Biocon Biologics Limited (‘BBL’), an unlisted material subsidiary of the Company, by way of purchase or acquisition of equity shares of BBL, for consideration other than cash through issuance and allotment of fully paid-up equity shares of the Company on a preferential allotment basis through private placement including determination of issue price, in accordance with Chapter V of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018.

Approval of shareholders of the Company, as may be required in this regard, shall be obtained through Postal Ballot, the notice of which shall be submitted in due course.
