In terms of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), we wish to inform you that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors have passed a circular resolution today, i.e. on December 28, 2020 , approving appointment of Mr. Vijay Kumar Modi (DIN:00004606) as an "Additional Director (Non-Executive Independent Director)" on the Board of Directors of the Company with effect from 28" December, 2020 for a term of 5 (five) years up to December 27" 2025, subject to approval of the Shareholders of the Company.
Mr. Vijay Kumar Modi is not debarred from holding the office of Director by virtue of any order of the Securities and Exchange Board of India (SEBI) or any other such authority.
