ADDENDUM TO THE NOTICE OF THE 56[th] AGM OF BHEL

Pursuant to Rule 13 of the Companies (Appointment & Qualification of Directors) Rules, 2014, notice is hereby given that the Company has received a notice under Section 160 of the Companies Act, 2013 on September 11, 2020, proposing candidature of Shri Amit Mehta, Additional Director on the Board of BHEL for election to the office of Director in the ensuing 56[th] Annual General Meeting (AGM) of the Company, scheduled to be held on Monday, September 28, 2020 at 10 A.M. IST through Video Conferencing/ Other Audio-Visual Means (VC).

The resolution for appointment of Shri Amit Mehta for the office of Director will be taken up for consideration of the members as part of the Special Business of the AGM, in the form of an ordinary resolution, as set forth below:

Item No. 10 - Appointment of Shri Amit Mehta (DIN: 08859397) as Director

To consider and, if thought fit, to pass with or without modification, the following resolution as an Ordinary Resolution:

“RESOLVED THAT Shri Amit Mehta (DIN: 08859397), who was appointed as an Additional Director pursuant to Article 67(iv) of the Articles of Association of the Company read with Section 161 (1) of the Companies Act, 2013 w.e.f. 02.09.2020 to hold Office upto the date of this Annual General Meeting and in respect of whom, the Company has received a notice in writing, from the Director himself pursuant to the provisions of Section 160 (1) of the Companies Act, 2013, be and is hereby appointed as a Director of the Company.”

EXPLANATORY STATEMENT PURSUANT TO SECTION 102(1) OF THE COMPANIES ACT, 2013

Shri Amit Mehta (DIN: 08859397), aged 56 years, was inducted as Part-time Official Director on the Board of BHEL w.e.f. September 2, 2020.

He is presently posted as Joint Secretary in the Department of Heavy Industry, Ministry of Heavy Industries and Public Enterprises, Government of India. Shri Amit Mehta holds a Bachelor Degree in Mechanical Engineering from IIT Roorkee.

Prior to his present posting in the Department of Heavy Industry, he was Joint Secretary in the Department of Consumer Affairs, Ministry of Consumer Affairs, Food & Public Distribution, where

he dealt with issues related to consumer protection, policy matters related to the Consumer Protection Act and the Legal Metrology Act.

He joined the Indian Ordnance Factories Service in May 1988. During his tenure in the Ordnance Factories, he has worked in various Divisions at various levels and has a rich experience of working in areas related to Production, Planning, Quality Control, Maintenance and Public Procurement. He has also worked as Director in the Department of Food & Public Distribution, Ministry of Consumer Affairs, Food & Public Distribution.

Being a Government of India nominee on the Board of BHEL, Shri Amit Mehta does not receive any remuneration from BHEL.

Shri Amit Mehta does not hold any shares in BHEL and he does not have any relationship with other Directors/ Manager/ Key Managerial Personnel of the Company.

Shri Amit Mehta has attended one Board Meeting which was held after the date of his appointment in FY 2020-21.

By virtue of Section 161 of the Companies Act, 2013 read with Article 67(iv) of the Articles of Association of the Company, Shri Amit Mehta holds office till the date of ensuing Annual General Meeting and is eligible for appointment. As per requirement of Section 160 of the Companies Act, 2013, the Company has received a Notice in writing, proposing candidature of Shri Amit Mehta for the Office of Director of the Company.

Except Shri Amit Mehta, being an appointee, none of the Directors or Key Managerial Personnel of the Company or their relatives is in any way, concerned or interested, financially or otherwise, in the resolution set out at item no. 10.

The Board of Directors commends the resolution for approval of the Shareholders.
