June 21, 2019, for the period of 5 years, subject to approval of shareholders.

Disclosure of infom,ation pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI circular dated September 9, 2015 is attached as Annexure -1.

Further, in compliance with the circular No. NSE/CML/2018/02 issued by National Stock Exchange of India Limited and circular No. LIST/COMP/14/2018-19 issued by BSE Limited (both circulars dated June 20, 2018), we wish to confim, that Mr. Dipak Mane and Mr. Murali Sivaraman have not been debarred from holding the office of Director by virtue of any order issued by SEBI or any other Authority.

1. Brief Profile of Mr. Dipak Mane

Mr. Dipak Mane, aged 58 years, has earned his B. Tech. in Chemical Engineering from IIT Kharagpur and did his Post-Graduate studies in Marketing at the IMO, Lausanne. He has been working with the Buhler group since 1992, in various Techno-commercial functions, and shifted to a role in heading Globai HR in 2015. At Burlier, he remodelied the Global HR structure, made a Global Master Plan for Talent Development, and is currently working on Digitalization of Internal Support and Administrative Functions.

Mr. Dipak Mane is not related to any Director, Manager or Key Managerial Personnel of the Company.

2. Brief Profile of Mr. Murali Sivaraman

Mr. Murali Sivaraman, aged 58 years, is a Fellow Member of the Institute of Chartered Accountants of India, Institute of Cost and Works Accountants of India and holds a Post Graduate Diploma in Management from the Indian Institute of Management, Ahmedabad. He has also completed Advanced Management Program from Harvard Business School.

He is presently a Non-Executive Chairman and Independent Director of Huhtamaki PPL Ltd. (ionnerly known as Paper Products Limited) and Signify Innovations india Limited (formerly known as Philips Lighting India Limited). He is an accomplished business leader, who has worked in India, Singapore, China, Canada, and London. In his previous role, he served as President of Philips Lighting Growth Markets and Executive Vice President of Philips Lighting, based in Singapore. During his tenure at Philips - he has successfully completed and integrated large acquisitions in India, China and Middle East and has worked with Marketing, Innovations and Supply Teams spread across the globe. He also worked with Akzo Nobel (formerly ICI) for appx. 20 years in global positions.

Mr. Murali Sivaraman is not related to any Director, Manager or Key Managerial Personnel of the Company.
