• 1 Tho 58" (Fifty-elghlh) Annual General Meeting ("AGM') of the Members of the Company will be held on fuesday, Augusl 13, 2019 at 10.30 a.m.

• (1.S.T.) at the Registered Office of the Company at Mundhwa, Pune Cantonment, Pune-411 036, Maharashtra, India to transact the business as set forth in the Notice of the Meeting dated June 21, 2019.

• Eleclronic copies of the Notice of the AGM and Annual Report for the financial year 2018-19 have been sent to all the Members whose email IDs are registered with the Company / Deposltory Partlclpant(s). These documents are also available on the website of the Company at 1W1V1 bharatforge.com. The Notice of the AGM and Annual Report for the financial year 2018-19 have been sent to all the other Members at their registered·address In the permitted mode. The dispatch of the Notice of the AGM has been completed on Thursday, July 18,2019.

• Members holding shares either In physical form or dematerialised form, as on the cut-off date i.e. Tuesday, August 6, 2019, may cast their vote electronically through the platform of National Securilles Depository Limited (NSDL) from a place other than venue of AGM ('remote a-voting").

• Pursuant to Sectron 108 of the Companies Act, 2013 and the relevant Rules, the Company has entered inlo an agreement with National Securitres Depository Limited (NSDL) to enable the Members to exercise their right to vote by electronic means for the resolutions set forth in the Notice convening theAGM.AII the Members are hereby informed that:

• The remote a-voting shall commence on Saturday, August 10, 2019,at 9.00 a.m. (I.S.T.) and end on Monday, August 12, 2019 at 5.00 p.ln. (I.S.T.);

• ii. E-votlng shall not be allowed beyond 5.00 p.m. (I.S.T.) on Monday, August 12, 2019;

• iii. Any person who acquires shares of the Company and becomes a member of the Company after the dispatch of Notice of the AGM and holds shares as of the cut-off date i.e. Tuesday, August 6, 2019, may obtain the login ID and password by sending a request at: evoting@nsdl.co.in. However, if a person Is already registered with NSDL for a-voting, then the existing user ID and password can be used for casting vote;

• iv. Members may note that:

• a) The remote e-voting module will be disabled by NSDL beyond 5.00 p.m.

• (I.S.T.) on Monday, August 12, 2019 and once the vote on a resolution Is C?St by a member, he/she shall not be allowed to change It

• .subsequently:

• b) The facility of voting through ballot paper shall be made available at the AGM and the Members attending the meeting who have not cast their vote by remote e-voting shall be able to exercise their right at the meeting through ballot paper;

• c) The members can opt for only mode of voting i.e. either through e-votlng or by phy• ,c.1t ballot. In case of voting by both the modes, vote cast through remote e-voting will be considered final and voting through Ballot Form wrll not be considered;

• d) The Members who have cast their vote by remote e-votlng prior to the AGM may also attend the AGM but shall not be enliUed to cast their vote again;and

• e) Only persons whose names are recorded in the Register of Members or rn the Register ot Benehcrat Owners maintained by the Depositories as on the cut-off date shall be entitled to vote using the remote e-voting facility at theAGM using ballot paper;

• v. The Notrce of AGM is available on· the Company's website at: www.bharatforge.com and also on the NSDL's website at: https:/fvllw1.evoting.nsdl.com; and
