- Sub: Acquisition of AAM India Manufacturing Corporation Private Limited - Receipt of approval from Competition Commission of India (“CCI”)
Ref: Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“LODR Regulations”)
This is further to our earlier intimation dated October 17, 2024 regarding the execution of the Share Purchase Agreement (“SPA”) for the acquisition of 100% shareholding in AAM India Manufacturing Corporation Private Limited, subject to fulfilment of conditions precedent and receipt of requisite regulatory approvals, in accordance with the terms of the SPA (‘Proposed Acquisition’).
In this regard, we are pleased to inform you that the Competition Commission of India (‘CCI’) vide its Letter dated April 22, 2024, has accorded its approval for the Proposed Acquisition. The detailed order of CCI in this matter is awaited.
Please note that the completion of the acquisition remains subject to fulfilment of the conditions precedent and carried out in accordance with the terms of the SPA.
