Sub.: Acquisition update regarding Aeron Systems Private Limited, Pune, India

This has reference to our intimation dated May 22, 2019 regarding acquisition of 26% stake in Aeron Systems Private Limited (Aeron) on a fully diluted basis, in three tranches on completing various conditions from time to time.

In this regard, we would like to inform you that in conclusion of the conditions as mentioned under the Share Subscription Agreement and Shareholders Agreement, the Company has subscribed for Tranche Ill of 19,500 equity shares of Rs. 10/- each at a premium of Rs. 1,015.64/- per equity share of Aeron. Subsequent to this subscription the Company currently holds 26% stake in Aeron oh fully diluted basis.
