Dear Sir/ Madam,

In accordance with Section 124 of the Companies Act, 2013 and the Investor Education and Protection Fund (IEPF) Authority (Accou nting, Audit, Transfer and Refund) Rules, 2016, as amended from time to time, we have published advertisements in Business Standard (En glish) and Mumbai Laskhadeep (Marathi) on 29th August, 2020, requesting the concerned shareholders to take appropriate action to claim their dividend, which has not been claimed by them for seven consecutive years (FY 2012-13 onwards), failing which such unclaimed dividend and the shares on which such dividend remains unclaimed will become liable to be transferred to the Demat account of IEPF Authority.

Pursuant to Regulation 30 and 4 7 of SEBI (Listin g Obligations and Disclosure Requirements) Regulations, 2015, attached are the clippings of the above mentioned publications.

The IEPF Rules, inter a/ia, provide that the shares in respect of which, dividends have not been claimed by a shareholder for a period of seven consecutive years, shall be credited to the Investor Education and Protection Fund (IEPF) within a period of thirty days of such shares becoming due to be transferred. In compliance with the Act and IEPF Rules, the Company has sent individual notices to all the concerned shareholders, whose shares are liable to be transferred to IEPF, the full details of such shareholders are available under the 'Transfer of shares to IEPF' section on the Company's website at link https://bhansaliabs.com/jnyestor/transfer-of-shares-to-iepf/ for information and necessary action by the Shareholders. The Shareholders may note that, the unpaid I unclaimed dividends have been transferred from time to time as per the Act and IEPF Rules, to the IEPF Authority. The last such transfer was made on 29• February, 2020, with regards to the dividend paid for FY 2011-12. Accordingly, the concemed shareholders are requested to claim the unclaimed dividend(s) amounts from FY 2012-13 onwards from the Company, on or before Saturday. 2lf" November, 2020. In this connection, please note the following: • With respeet to the shares held in physical form, the Company would Issue a new share certificate in lieu of original share certificate(s), for the purpose of transfer of shares to the IEPF Authority and upon such issuance, the original share certificate will automatically stand cancelled and be deemed nonnegotiable. After issue of such new share certificate, the Company shall inform the Depositories byway of Corporate Action Form( s) to convert the new share certificate into De mat form and transfer the same in the favour of the IEPFAuthority. • For shares held in demat mode, the Company will process the transfer of shares through Depositories by way of Corporate Action in favour of IEPF Authority In the event of a valid claim not being received by the Company within the stipulated time (i.e. on or before Saturday, 2a• November, 2020) the Company shall transfer the shares in respect of which dividend remains unclaimed for the period from FY 2012-13 onwards to the demat account of the IEPF Authority, without any further notice, by following the due procedure as prescribed under the IEPF Rules. विषय: कंपनीच्या समभागांचे गुंतवणूकदार शिक्षण आणि संरक्षण निधी (आयईपीएफ) प्राधिकरणाकडे हस्तांतरण

.कंपनी कायदा, २०१३ च्या कलम १२४(६) व त्यासोबत वेळोवेळी सुधारणा करण्यात आलेल्या गुंतवणुकदार शिक्षण आणि संरक्षण निधी प्राधिकरण (हिशेबतपासणी, लेखा, हस्तांतरण आणि परतावा) नियम, २०१६ ("आयईपीएफ नियम") मधील नियम ६ च्या सहवाचनांतर्गत याद्वारे कंपनीच्या समभागधारकांना सूचना देण्यात येत आहे.

आयईपीएफ नियमांमध्ये इतर बाबींबरोबरच अशी तरतद आहे की, ज्या समभागांवरील लाभांशाचा दावा भागधारकांनी सलग सात वर्षे केलेला नसेल, तर असा लाभ हस्तांतरणासाठी पात्र झाल्यानंतर तीस दिवसांच्या कालावधीच्या आत गुंतवणूकदार शिक्षण आणि संरक्षण निधी (आयईपीएफ) प्राधिकरणाकडे हस्तांतरित केले पाहिजेत.

हा कायदा आणि आयईपीएफ नियमांच्या अनुपालनार्थ, कंपनीने ज्या भागधारकांचे भाग आयईपीएफकडे हस्तांतरित करण्यासाठी पात्र आहेत, त्या सर्व भागधारकांना वैयक्तिक सूचना पाठविलेल्या आहेत, अशा भागधारकांचे संपूर्ण तपशील भागधारकांच्या माहितीसाठी आणि आवश्यक त्या कारवाईसाठी, कंपनीच्या संकेतस्थळावरील https://bhansaliabs.com/investor/transfer-of-shares-to-iepf/ ह्या लिंकवर 'Transfer of shares to IEPF' ह्या विभागामध्ये उपलब्ध आहेत.

भागधारकांनी नोंद घ्यावी की, कंपनी कायदा, २०१३ नुसार आणि आयईपीएफ नियमांनुसार प्रदान/दावा न केलेले लाभांश वेळोवेळी आयईपीएफ प्राधिकरणाकडे हस्तांतरित केलेले आहेत. अशा प्रकारचे शेवटचे हस्तांतरण, आर्थिक वर्ष २०११-१२ साठी प्रदान करण्यात आलेल्या लाभांशाच्या बाबतीत, दिनांक २९ फेब्रुवारी, २०२० रोजी करण्यात आले होते. त्यानुसार, संबंधित भागधारकांना विनंती करण्यात येते की, त्यांनी आर्थिक वर्ष २०१२-१३ पासूनच्या दावा न केलेल्या लाभांशाच्या रकमेचा दावा कंपनीकडे शनिवार, दिनांक २८ नोव्हेंबर,२०२० रोजी किंवा त्यापूर्वी करावा.

या बाबतीत कृपया खालील नोंद घ्यावी:

• ▶ प्रत्यक्ष रूपात (भौतिक रूपात) धारण करण्यात आलेल्या भागांच्या बाबतीत, मूळ भागप्रमाणपत्राच्या (भागप्रमाणपत्रांच्या) बदल्यात कंपनी अशा हस्तांतरणासाठी नवीन प्रमाणपत्र देईल आणि अशा प्रकारे प्रमाणपत्र दिल्यानंतर मुळ प्रमाणपत्र आपोआप रद्द होईल आणि ते अपरक्राम्य समजले जाईल. अशा प्रकारचे नवे प्रमाणपत्र दिले गेल्यानंतर हे नवीन भागप्रमाणपत्र डिमॅट रूपात रूपांतरित करून ते आयईपीएफ प्राधिकरणाच्या नावे हस्तांतरित करण्यासंबंधी कंपनी, कॉर्पोरेट ॲक्शन फॉर्म्सद्वारे डिपॉझिटरिज्ना कळवतील.
• ▶ डिमेंट रूपात धारण केलेल्या भागांसाठी कंपनी ह्या भागांचे हस्तांतरण डिपॉझिटरिज्च्या माध्यमातून आयईपीएफ प्राधिकरणाच्या नावे कॉर्पोरेट ॲक्शनद्वारे हस्तांतरित करील.

जर कंपनीकडे विहित कालावधीमध्ये (म्हणजेच शनिवार, दिनांक २८ नोव्हेंबर, २०२० रोजी किंवा त्यापूर्वी) वैध दावा प्राप्त झाला नाही, तर आर्थिक वर्ष २०१२-१३ पासून पुढील कालावधीसाठी ज्या भागांवरील लाभांशाचा दावा केला गेला नाही, तर यानंतर कोणतीही सूचना न देता, आयईपीएफ नियमांमध्ये विहित करण्यात आलेल्या कार्यप्रणालीचे पालन करून, कंपनी त्यांचे हस्तांतरण आयईपीएफ प्राधिकरणाच्या डिमॅट खात्यात करील.

भागधारकांनी अशीही नोंद घ्यावी की, कंपनी कायदा, २०१३ आणि आयईपीएफ नियमांच्या अनुपालनार्थ आयईपीएफ प्राधिकरणाकडे हस्तांतरित करण्यात आलेल्या दावा न केलेल्या लाभांशाच्या बाबतीत आणि हस्तांतरित करण्यात आलेल्या भागांच्या बाबतीत कंपनीकडे कोणताही दावा करता येणार नाही. आयईपीएफ प्राधिकरणाच्या डिमॅटमध्ये असे लाभांश आणि भाग, त्यांच्यावर मिळणाऱ्या लाभांसह (काही असल्यास), हस्तांतरित केल्यानंतर भागधारक भाग व त्यांच्यावरील लाभांश यांचा दावा आयईपीएफ प्राधिकरणाकडून ऑनलाईन अर्ज करून करू शकतील, ज्यासाठीचे तपशील www.iepf.gov.in वर उपलब्ध आहेत.
