Dear Sirs,

Sub: Meeting of the Board of Directors of the Company scheduled on 31/07/2020.

Please refer to our letter no. SECT/BFUULR-33/ dated 23/07/2020 informing about the meeting of the Board of Directors of the Company to be held on 31/07/2020 for considering and approving the annual consolidated financial results for the year ended 31/03/2020.

In this connection, we wish to inform you that the managements of two of the subsidiaries, material being Nandi Economic Corridor Enterprises Ltd., are still in the process of finalising their annual accounts for the year ended 31/03/2020 and audit thereof and therefore have not shared with us these audited accounts.

Due to these reasons, we are not in a position to complete the consolidation of the accounts of these subsidiaries with that of BF Utilities for the year ended 31/03/2020 and the audit thereof.

In view of the facts explained above, BF Utilities is not able to submit the audited consolidated financial results for the year ended 31/03/2020, as intimated earlier, on 31/07/2020. The Board meeting scheduled today, therefore, stands deferred.

BF Utilities will submit the aforesaid audited consolidated financial results after the audited accounts of the aforesaid subsidiaries are made available to us by the management of these subsidiaries.

While on the subject, we wish to clarify that BF Utilities has already finalised the standalone financial results for the year ended 31/03/2020 and duly filed the same, with the Report of the Auditors thereon, on 30/06/2020.
