Notice of Postal Ballot and E-voting lnformation

Notice is hereby given that BF Utilities Limited (the "Company"), pursuant to the provisions of Section 110 and other applicable provisions, if any, of the Companies Act, 2013 (the "Act") read together with Rule 20 and 22 of the Companies (Management and Administration) Rules, 2014 (the "Management Rules"), (including any statutory modification or re-enactment thereoffarthe time being in farce) and any other applicable provisions of the Act and the rules made thereunder, read with the General Circular Nos. 14/2020 dated April 8, 2020, 17/2020 dated April 13, 2020, 20/2020 dated May 5, 2020, and the subsequent Circulars issued in this regard, the latest being 03/2025 dated September 22, 2025 and other relevant and applicable circulars issued by the Ministry of Corporate Affairs ( collectively referred to as "MCA Circulars") and Regulation 44 of the Securities and Exchange Board of lndia ("SEBI") (Listing Obligations and Disclosure Requirements) Regulations, 2015, ("SEBI LODR") and other applicable provisions, if any, of the SEBI LODR, far the time being in farce and as amended from time-to-time read with SEBI Circular SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated October 03, 2024 and SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/l/3762/2026 dated January 30, 2026 ("SEBI Circulars") and Secretarial Standard on General Meetings issued by the Institute of Company Secretaries of lndia ("SS-2"), is seeking approval of its members by way of Special Resolution far appointment of Mrs. Mugdha Rajesh Vartak (DIN: 11613408) as a Non-Executive, lndependent Director of the Company, far a term of three (03) consecutive years with effectfrom March 17, 2026 tili March 16, 2029 (both days inclusive), nat liable to retire by rotation, with effect from March 17, 2026, by way of Postal Ballot by voting through electronic means only ("e-voting"/"remote evoting").

The Company has engaged the services of National Securities Depository Limited ("NSDL") to previde e-voting facility. Mr. Sridhar Mudaliar (Membership No. FCS 6156), failing him, Mrs. Sheetal Joshi (Membership No. FCS 10480), Partners of M/s. SVO & Associates, have been appointed as the Scrutinizer to scrutinize the e-voting process ina fair and transparent manner.

Notice of Posta I Ballot dated March 17, 2026 ("Notice"), has been sent by the Company on April 03, 2026, only through electronic mode, to those members whose e-mail addresses are registered with the Company/NSDL and Central Depository Services (lndia) Limited (collectively referred to as "Depositories") and whose names are recorded in the Register of Members/Register of Beneficial Owners maintained by the Company I Depositories as on Tuesday, March 31, 2026 ("Cut-Off date"). The communication of assent/dissent of the members will only lake place through remete e-voting system. A person who is nat a member as on the Cut-Off date should treat this Notice far infarmation purposes only. The Notice is also available on the website of the Company at www.bfutilities.com, on the website of stock exchanges i.e. BSE Limited and National Stock Exchange of lndia Limited at www.bseindia.com and www.nseindia.com respectively and on the website of the NSDLat www.evoting.nsdl.com.

The remete e-voting period commences from Tuesday, April 07, 2026 at 09.00 a.m. (1ST) and ends on Wednesday, May 06, 2026 at 05.00 p.m. (1ST). The e-voting module will be disabled by NSDL thereafter. Electronic Voting Event Number (EVEN) of the Company is 138994. Only members whose names are recorded in the Register of Members / Register of Beneficial Owners maintained by the Company / Depositories as on the Cut-off date will be entitled to cast their votes.

दुरस्थ ई–मतदानाचा कालावधी मंगळवार, ०७ एप्रिल, २०२६ रोजी सकाळी ०९.०० (भारतीय प्रमाण वेळेनुसार) पासून सुरू होईल आणि बुधवार, ०६ मे, २०२६ रोजी सध्याकाळी ०५.०० (भारतीय प्रमाण वेळेनुसार) वाजता सपेल. त्यानतर एनएसडीएल द्वारे ई–मतदान मॉड्यूल बंद केले जाईल. कंपनीचा इलेक्ट्रॉनिक व्होटिंग इव्हेंट क्रमांक (EVEN) १३८९९४ आहे. ज्या सभासदाची नावे कट–ऑफ तारखेरोजी कंपनी / डिपॉझिटरीद्वारे ठेवलेल्या सभासदाचे / लाभार्थी मालकाचे नोंदणी रजिस्टर मध्ये असतील तेच सभासद मतदान करू शकतात.
