Notice of Postal Ballot and E-voting Information

Notice is hereby given that BF Utilities Limited (the "Company"), pursuant to the provisions of Section 110 and other applicable provisions, if any, of the Companies Act, 2013 (the "Act") read together with Rule 20 and 22 of the Companies (Management and Administration) Rules, 2014 (the "Management Rules"), (including any statutory modification or re-enactment thereof for the time being in force) and any other applicable provisions of the Act and the rules made thereunder, read with the General Circular Nos. 14/2020 dated April 8, 2020, 17/2020 dated April 13, 2020, 20/2020 dated May 5, 2020, and the subsequent Circulars issued in this regard, the latest being 09/2024 dated September 19, 2024 and other relevant and applicable circulars issued by the Ministry of Corporate Affairs (collectively referred to as "MCA Circulars") and Regulation 44 of the Securities and Exchange Board of India ("5EBI"} (Listing Obligations and Disclosure Requirements) Regulations, 2015, ("5EBI LODR") and other applicable provisions, if any, of the SEBI LODR, for the time being in force and as amended from time-to-time read with SEBI Circular SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated October 03, 2024 and SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/ P/0155 dated November 11 , 2024 ("SEBI Circulars") and Secretarial Standard on General Meetings issued by the Institute of Company Secretaries of India ("55-2"), is seeking approval of its members by way of Ordinary Resolution for appointment of Mr. Madan Umakant Takale (DIN: 01291287) as a Non-Executive, Non-Independent Director of the Company, liable to retire by rotation , with effect from May 29, 2025, by way of Postal Ballot by voting through electronic means only ("e-voting"/"remote evoting").

The Company has engaged the services of National Securities Depository Limited ("NSDL") to provide e-voting facility. Mr. Sridhar Mudaliar (Membership No. FCS 6156), failing him, Mrs. Sheetal Joshi (Membership No. FCS 10480), Partners of M/s. SVD & Associates, have been appointed as the Scrutinizer to scrutinize the e-voting process in a fair and transparent manner.

Notice of Postal Ballot dated May 29, 2025 ("Notice"), has been sent by the Company on July 02, 2025, only through electronic mode , to those members whose e-mail addresses are registered with the Company/NSDL and Central Depository Services (India) Limited (collectively referred to as "Depositories") and whose names are recorded in the Register of Members/Register of Beneficial Owners maintained by the Company / Depositories as on Friday, June 27, 2025 ("Cut-Off date"). The communication of assenUdissent of the members will only take place through remote e-voting system. A person who is not a member as on the Cut-Off date should treat this Notice for information purposes only. The Notice is also available on the website of the Company at www.bfutilities.com, on the website of stock exchanges i.e. BSE Limited and National Stock Exchange of India Limited at www.bseindia.com and www.nseindia.com respectively and on the website of the NSDL at www.evoting.nsdl.com.

The remote e-voting period commences from Friday, July 04, 2025 at 09.00 a.m. (1ST) and ends on Saturday, August 02, 2025 at 05.00 p.m. (1ST). The e-voting module will be disabled by NSDL thereafter. Electronic Voting Event Number (EVEN) of the Company is 134243. Only members whose names are recorded in the Register of Members / Register of Beneficial Owners maintained by the Company / Depositories as on the Cut-off date will be entitled to cast their votes. दि. २९ मे, २०२५ रोजीची पोस्टल बॅलेटची सूचना (सूचना), कंपनीने ०२ जुलै, २०२५ रोजी केवळ इलेक्ट्रॉनिक पद्धतीने, अशा सभासदांना पाठवली आहे ज्यांचे ई–मेल आयडी कंपनी/एनएसडीएल आणि सेंट्रल डिपॉझिटरी सर्व्हिसेस (इंडिया) लिमिटेड (एकत्रितपणे डिपॉझिटरीज म्हणून संबोधित) यांच्याकडे नोंदणीकृत आहेत आणि ज्यांची नावे शुक्रवार, २७ जून, २०२५ (कट–ऑफ डेट) पर्यंत कंपनी / डिपॉझिटरीजुद्वारे ठेवलेल्या सभासदांचे / लाभार्थी मालकांचे नोंदणी रजिस्टर मध्ये नोंदणीकृत आहेत. सभासदांची संमती/असंमती ही फक्त दुरस्थ ई-मतदान प्रणालीद्वारेच नोंदविण्यात येईल. कट-ऑफ तारखेला सभासद नसलेल्या व्यक्तीने ही सूचना केवळ माहितीच्या उद्देशाने पाहावी. ही सूचना कंपनीच्या www.bfutilities.com या वेबसाइटवर, स्टॉक एक्स्चेंज म्हणजेच बीएसई लिमिटेड आणि नॅशनल स्टॉक एक्स्चेंज ऑफ इंडिया लिमिटेडच्या वेबसाइटवर अनुक्रमे www.bseindia.com आणि www.nseindia.com येथे व एनएसडीएल ची वेबसाइट www.evoting.nsdl.com येथे उपलब्ध आहे.

दूरस्थ ई–मतदानाचा कालावधी शुक्रवार, ०४ जुलै, २०२५ रोजी सकाळी ०९.०० (भारतीय प्रमाण वेळेनुसार) पासून सुरू होईल आणि शनिवार, ०२ ऑगस्ट, २०२५ रोजी संध्याकाळी ०५.०० (भारतीय प्रमाण वेळेनुसार) वाजता संपेल. त्यानंतर एनएसडीएल द्वारे ई–मतदान मॉड्यूल बंद केले जाईल. कंपनीचा इलेक्ट्रॉनिक व्होटिंग इव्हेंट क्रमांक (EVEN) १३४२४३ आहे. ज्या सभासदांची नावे कट–ऑफ तारखेरोजी कंपनी / डिपॉझिटरीद्वारे ठेवलेल्या सभासदांचे / लाभार्थी मालकांचे नोंदणी रजिस्टर मध्ये असतील तेच सभासद मतदान करू शकतात.
