Notice is hereby given that the 25• Annual General Meeting (AGM) of the members of the Company will be held on Wednesday, December 24, 2025 at 11 :00 a.m. (I.S. T.) through Video conferencing (VC) / Other Audio Visual Means (OAVM), without the presence of Members at a common venue, in accordance with the provisions of the Companies Act, 2013, ("the Act"), and rules thereunder and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations") as amended, read with Ministry of Corporate Affairs ("MCA") vide its General Circular No. 03/2025 dated September 22, 2025 in continuation to its earlier Circulars and Circular No. SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated October 03, 2024 read with Master Circular No. SEBI/HO/CFD /PoD2/CIR/ P/0155 dated November 11, 2024 issued by the Securities and Exchange Board of India (SEBI) (collectively referred to as "MCA and SEBI Circulars") permitted the holding of the Annual General Meeting ("AGM") through VC/OAVM, without the physical presence of the Members at a common venue to transact the business(es) as set out in the Notice convening the 25th AGM.

In compliance with the MCA & SEBI Circulars, the Notice of AGM and the Annual Report for FY 2024-25 has been sent by e-mail to the Members whose e-mail IDs are registered with the Depository Participants (DPs) or MUFG lntime India Private Limited (Formerly known as Link lntime India Private Limited), the Registrar and Transfer Agent ("RTA") of the Company or the Company itself. Additionally, in accordance with Regulation 36(1 )(b) of Listing Regulations, the Company is also sending a letter to the shareholders, whose email IDs are not registered with the Company/RTA/DP, by providing the weblink of Company's website from where the Annual Report for FY 2024-25 can be accessed. The dispatch of the Notice of AGM through email has been completed on November 27, 2025.

The Notice of AGM and Annual Report for FY 2024-25 are also available on the website of the Company at www.bfutilities.com, website of the Stock Exchanges i.e. BSE Limited atwww.bseindia.com and National Stock Exchange of India Limited at www.nseindia.com and also on the website of National Securities Depository Limited (NSDL) https://www.evoting.nsdl.com.

In terms of the provisions of Section 108 and other applicable provisions, if any, of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014 as amended and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, members holding shares in physical or demat form as on the cut-off date i.e. December 17, 2025, may casttheirvote electronically on the business as set out in the Notice of 25• AGM of the Company through a-voting platform of NSDL. The detailed instructions for a-voting and for attending the AGM through VC/ OAVM are contained in the Notice of25• AGM. In this regard, kindly note as follows:

• 1. The businesses as set forth in the Notice of the AGM will be transacted by electronic means through e-voting platform of NSDL i.e. www.evoting.nsdl.com.
• 1. The remote a-voting shall commence on Sunday, December 21, 2025 at 9.00 a.m. and ends on Tuesday, December 23, 2025 at 5.00p.m.
• 1. The cut-off date for determining the eligibility to vote by electronic means or attheAGM is December 17, 2025.
• 1. The remote e-voting shall not be allowed beyond 5.00 p.m. on Tuesday, December 23, 2025.
• 1. A person whose name is recorded in the register of members or in the register of beneficial owners maintained by the depositories as on the cut-off date only shall be entitled to avail of the facility of remote e-voting as well as e-voting during theAGM.
• 1. Members who have cast their votes by remote a-voting prior to the AGM may also attend/ participate in the AGM through VC / OAVM facility, but shall not be allowed to casttheirvotes again.
• 1. Members present at the meeting through VC / OAVM facility and who had not cast their votes on the resolutions through remote e voting and are otherwise not barred from doing so, shall be eligible to vote through a-voting system during the AGM. The instructions for attending the AGM through VC / OAVM are provided in the Notice oftheAGM.
• 1. Any person, who acquires shares of the Company and becomes a member after dispatch of the Notice of AGM and holding shares as of the cut-off date i.e. December 17, 2025, may obtain the User ID and Password by sending the request at evoting@nsdl.co.in. However, if a person is already registered with NSDL for a-voting then existing user ID and password can be used for casting vote.
