21st Annual General Meeting

Notice is hereby g iven that the 21 " Annual General Meeting (AG M) of the members of the Company will be held on Wednesday, September 29 , 2021 at 11 :00 a.m. (I.S.T.) throug h V ideo Confe renc ing (VC) / Other Audio V isual Means (OAVM), w ithout presence of Members at a common venue, in compliance with the prov isions of the Companies Act, 2013, ( "the Act"), General C ircu lar Nos.14/2020, 17/2020, 20/2020, 02/2021 and other applicable circulars issued by the Ministry of Corporate Affa irs (MCA) and Circular No. S EBI/HO/C FD/CMD1/CIR/P / 2020/79 and S EB I/HO /CF D/C M 0 2/C I R / P/2021 /11 Issued by the Securities and Exchange Board of India (SEB I), lo transact the business as set out in the Notice conven ing the 21 " AGM .

In connection of the same, kindly note as follows

• 1. Notice of the AGM and Annual Report for the Financial Year 2020-21:
  • a) will be sent to all Shareholders by email, whose email addresses are registered w ith the Company / Depository Part icipant (s) and
  • b) will also be up loaded on the webs ite of t he Company at www.bfutilities .com, webs ites of the Stock Exc hanges i.e. BSE Lim ited, www .bseindia .com and Nat ional S tock Exchange of India Limited, www.nse india.com and also on the website of Nat iona l Securities Depository Limited (NSDL) httos://www.evotinq.nsdl.com.

2. Manner of registering I updating email addresses:

• a) Shareholders holding shares In Physical Form are requested to provide a signed request letter mentioning Fo lio No., email i d, Name of the Sha reho lder, self attested copy of PAN Card by emai l to i;iune@ lin k intime .co .in to reg ister their email address and mobile number.
• b) Shareho lders holding shares in dematerialised form (DEMAT) are requested to register or update their email addresses and mobile number with their re levant depository participant(s).

3. Manner of casting vo te(s) through e-voting:

• a) Shareho lders will have an opportunity to cast their vote(s) through remote e-Vot ing faci lity, on a ll resolutions set out in the Not ice of the AGM. Th is remote e -Voting faci lity w i ll a lso be avai lable du r i ng the AGM.
• b) The de t a iled instructions for remote e -Vot ing by s hareho lders holding s hares in demate rialised mode, phys ical mode and for shareholders who have not registered their e -ma il addresses are provided in the Not ice oftheAGM.

4. Book Closure for AGM

The Register of Members and Share Transfer Books of the Company shall remain closed on Wednesday, September 29, 2021 for the purpose of 21st AG M.
