Submission of Requests for Approval of Settlement Agreements in Two Class Action Lawsuits

An immediate report is hereby given by the Company regarding the ling of two requests for approval of settlement agreements in two class action lawsuits, as follows:
1 Further to the Company's immediate report dated 17 January 2021 (Reference No. 2021-01-007132) regarding a consolidated motion for approval of a class action lawsuit that was submitted to the Tel Aviv District Court (Economic Department) by shareholders of the Company and of B Communications Ltd. (B Communications), against the Company, B Communications, and 90 additional respondents, which include current and former ocers of the Company and its subsidiary Bezeq International Ltd. (Bezeq International), as well as the Company's independent auditor (all together – the Respondents), regarding asset balances in the books of Bezeq International, and which alleged damages inter alia as a result of inclusion of misleading information in the reports of the Company and B Communications, and further to the information in this regard in Section 2.18.1(ix) of the Company's 2024 periodic report, a supplementary immediate report is hereby provided that on 24 November 2025 the parties submitted to the court a request for approval of a settlement agreement in the case.
According to the settlement agreement, solely for settlement purposes and without this constituting any admission on the part of the Respondents, and in full satisfaction of all claims relating to the approval request issues (all terms as dened in the settlement agreement), a nal, comprehensive, and absolute sum of NIS 75 million will be paid, which includes monetary compensation to the plaintiff group members, as well as all costs of any kind related to the settlement agreement, including compensation and legal fees for the claimants and their legal counsel, expenses, taxes, and fees (the settlement sum) – all subject to court approval of the settlement agreement and for the court's approval to become nal judgment. From the settlement sum, NIS 60 million will be paid directly by the Company's ocers' insurance, and NIS 11.6 million will be paid by the Company.
2 Further to the Company's immediate report dated 4 June 2024 (Reference No. 2024-01-056872) regarding partial approval of a class action lawsuit led at the Tel Aviv District Court (Economic Department) by a shareholder of the Company against the Company, ocers in the Company, and B Communications (the approval request against B Communications was denied) in relation to a public report regarding the phenomenon of duplicate subscribers in the ISP internet services area, and further to the details in Section 2.18.1(viii) of the Company's 2024 periodic report, a supplementary immediate report is hereby provided that on 24 November 2025 the parties submitted to the court a request for approval of a settlement agreement in the case.
According to the settlement agreement, solely for settlement purposes and without this constituting any admission on the part of the defendants, and in full settlement of all claims relating to the approval request issues, a nal, comprehensive, and absolute sum of NIS 8.55 million (the settlement sum) will be paid – all subject to court approval of the settlement agreement and for the court's approval to become nal judgement. The settlement sum will be paid in full by the Company's ocers' insurance, except for payment of the remaining self-participation (in a negligible amount of a few hundred thousand shekels), which will be borne by the Company.
