Submission of a Request for the Approval of a Mediation Settlement in a Motion for Approval of a Derivative Action

Further to the company's immediate report dated 10.4.2024 (reference no. 2024-01-035686) and to the provisions of section 2.18.1(f) of the company's 2024 annual report, as well as the update to said section in the company's quarterly report for the period ending on 30.9.2025 regarding the motion for approval of a derivative action, which was led by a shareholder of the company1 (the petitioner) against B Communications Ltd. (B Communications) and Mr. Shaul Elovitch (former controlling shareholders of the company) concerning the sale of a portion of the company's shares in 2016, immediate notice is hereby given that on 23.11.2025, B Communications, together with Mr. Shaul Elovitch, submitted a request to the court for approval of a mediation settlement that was signed between them and the petitioner, in order to end the proceedings of the motion for approval of a derivative action.
According to the mediation settlement, without admission of any of the claims in the motion for approval of a derivative action, for the purposes of compromise and to achieve the full settlement, waiver, discharge and conclusion of all proceedings in the motion for approval of a derivative action, it was agreed between the parties that, subject to approval of the mediation settlement in a nal and non-appealable judgment, B Communications shall pay a nal and absolute total amount of NIS 11 million. Of this amount, NIS 8.75 million is expected to be paid to the company.
Pursuant to the court's decision of the same date, the company's position, as the beneciary of the mediation settlement, as well as clarication by all parties to the proceeding on the matter, is requested by 7.12.2025.

It should be noted that the company, as well as its subsidiary, yes Television and Communication Services Ltd., were also included as respondents to the motion. 1
