BEWI - Completion of acquisition of majority stake of listed Polish company IZOBLOK and completion of private placement
Reference is made to the stock exchange release dated 28 April 2021 regarding
BEWI ASA's acquisition of a majority stake of the listed Polish company IZOBLOK
Spólka Akcyjna, a leading European provider of Expanded Polypropylene (EPP)
components to the automotive industry.
The transaction was completed today. BEWI has acquired 54.21 per cent of the
shares, corresponding to 65.66 per cent of the voting rights, of IZOBLOK.
In connection with completion of the transaction, BEWI has also completed a
private placement directed towards the majority seller in the transaction, in
which 1,132,792 new shares have been subscribed at a subscription price of NOK
27,50 per share. Following registration of the share capital increase pertaining
to the issue of shares in the private placement in the Norwegian Register of
Business Enterprises, the Company will have an issued share capital of NOK
156,610,804, divided into 156,610,804 shares, each with a par value of NOK 1.
The registration is expected to take place on or about 12 July 2021.
