Better Plant Announces Termination of Merger Agreement

Vancouver, B.C. – January 30, 2023: Better Plant Sciences Inc. ( CSE: PLNT ) ( FRA: YG3 ) (“ Better Plant ” or the “ Company ”) announced today the termination of the merger agreement dated April 26, 2022 (the “Merger Agreement”) with FreedomX Metaversive Networks Inc. (“Metaversive”) and 1233392 B.C. Ltd., a wholly owned subsidiary of the Company.

On January 29, 2023, the Company received a termination notice from Metaversive, terminating the Merger Agreement as certain conditions precedent had not been met. The termination of the Merger Agreement is effective immediately. The closing of the merger was subject to a number of conditions precedent that were not met, giving Metaversive the right to terminate the Merger Agreement.

The Company is currently engaged in the business of providing marketing, financial accounting, branding, packaging design, website design, bookkeeping and other services for small and medium businesses. In addition to continuing to provide these services, the Company is examining various ways to expand its business, including potential acquisitions and other opportunities.
