Şirketimizin 2023 yılı içerisinde ilişkili taraflarla gerçekleştirmiş olduğu işlemler hakkında bilgiler finansal tablolarımızın 5 numaralı dipnotunda yer almakta olup, 31 Aralık 2023 itibarıyla mal alımları %10 sınırını aşan Maia International B.V. ile yapılan işlemlerin piyasa koşullarına uygunluğu değerlendirildiği raporun sonuç bölümü aşağıda yer almaktadır:

SPK'nın Seri II.17.1 sayılı Tebliğine istinaden Şirketin Maia International B.V. ile yaygın ve süreklilik arz eden mal alım işlemlerinin 2023 yılı hesap dönemi içerisindeki tutarının, kamuya açıklanan son yıllık finansal tablolara göre oluşan satışların maliyeti oranının %10 sınırını geçmesi, 2024 yılı hesap döneminde aynı nitelikteki işlemlerin, ilişkili taraf olmayan üçüncü kişilere uygulanan fiyat ve iskontolar ile benzer gerçekleştirilmekte olduğu ve işlem koşullarının önceki yıllarla uyumlu ve piyasa koşulları ile karşılaştırıldığında makul olduğu değerlendirilmiş ve belirlenen esaslara uygun olarak işlemlerin devam etmesinin öngörülmesi nedeniyle  iş bu raporda; Maia International B.V. ile fiyat belirleme yöntemi hakkında bilgi sunulmuştur.

Information on the transactions that our company carried out with related parties in 2023 is included in footnote no. 5 of our financial statements, and as of 31 December 2023, the compliance of transactions made with Maia International B.V. that exceed 10% of goods purchase limit with the market conditions have been evaluated. Conclusion part of the report is below.

It has been determined that the amount of our company's widespread and continuous purchases of goods with Maia International B.V. in the accounting period of 2023 exceeds the 10% limit of the ratio of the cost of sales formed according to the last annual financial statements disclosed to the public pursuant to the Communiqué Serial II.17.1 of the Capital Markets Board (CMB), in the accounting period of 2023, transactions of the same nature are carried out similarly to the prices and discounts applied to third parties who are not related parties and the transaction conditions are in line with previous years and are reasonable compared to market conditions, and since it is foreseen that the transactions will continue in the 2024 accounting period in accordance with the determined principles; information about the price determination method with Maia International B.V was provided in this report.
