IMPEDIMENTS ON THE APPLICATION OF CUMULATIVE VOTING

SC BERMAS informs its shareholders that up to 31.10.2016 there were submitted applications at the proposal of the significant shareholder SC VIVAT-CONSTRUCT SRL, namely a number of 3 (three) respectively 3 complete files according to the current report published on 14.10.2016, the proposed candidates being as follows: CORNEANU COSTEL, POHOAȚĂ ANDREI and NEGREA MIHAI.

One candidate, namely NEGREA MIHAI withdrew his candidate file on 25/10/2016.

Also in accordance with art. 124, para. (3) of the CNVM Regulation no. 1/2006 on issuers and operations with securities (the consolidated version) the acting directors up to the date of the OGMS on 25/28.11.2016, namely ANISOI ELENA, DRĂGAN SABIN-ADRIAN and VESCAN MARIA AURORA were included by right on the list of candidates for the election of a new Board of Directors.

The acting candidates DRĂGAN SABIN-ADRIAN and VESCAN MARIA AURORA sent written notification of the option of not making full use of the right to candidate for the election of a new Board of Directors of at least 5 (five) members during the OGMS convened for the date of 25/28.11.2016.

Consequently, the final list of candidates for the Board of Directors includes a number of 3 candidates namely: ANISOI ELENA, CORNEANU COSTEL and POHOAȚĂ ANDREI.

Accordingly, we notify the shareholders that the provisions of par. (4) of art. 124 of the CNVM Regulation no.1/2006 and the legal provisions for the election of a new Board of Directors composed of at least 5 members by cumulative voting according to the OGMS agenda on 25/28.11.2016 are not met.
