Additional Explanations

2022 yılı net dağıtılabilir kârının hesaplanmasında; Türk Ticaret Kanunu, Sermaye Piyasası Mevzuatı, Kurumlar Vergisi, Gelir Vergisi ve diğer yasal mevzuat hükümleri, esas sözleşmemizin kâr dağıtımına ilişkin maddeleri ve Kâr Dağıtım Politikamız dikkate alınarak; Şirketimizin Sermaye Piyasası Kurulu'nun II-14.1 Tebliği'ne uygun olarak ve Türkiye Muhasebe Standartları esas alınarak hazırlanan bağımsız denetimden geçmiş konsolide finansal tablolarına göre, 2022 yılı net dönem kârı olan 19.129.365 TL 'den, 710.717,45 TL Genel Kanuni Yedek Akçe ayrılarak ve SPK düzenlemeleri paralelinde yıl içinde herhangi bir bağış yapılmadığı dikkate alınarak net dağıtılabilir dönem kârı 18.418.647,54 TL olarak hesaplanmıştır.

Hesaplanan dağıtılabilir kâr üzerinden;

- 1.560.000,00 TL tutarında birinci kâr payı,

- 1.906.666,66 TL tutarında ikinci kâr payı,

- 901.384,12 TL genel kanuni yedek akçe ayrıldıktan sonra,

- 3.466.666,66 TL toplam brüt kâr dağıtılması;

- 3.466.666,66 TL brut kârın %9,9999 'u tutarında kâr dağıtım stopajı düşüldükten sonra

- 3.120.000,00- TL net tutar nominal çıkarılmış sermayemizin %10'u olmak üzere

kâr payı dağıtılması ve dağıtılacak net kâr payı tutarının 1.500.000,00 TL tutarındaki kısmının 20.06.2023 tarihinde ilk taksit olarak ve 1.620.000,00 TL tutarındaki kısmının 19.09.2023 tarihinde ikinci taksit olarak ödenmesine oy birliği ile karar karar verilmiştir.
