Listing Rule 4.10.3 requires an entity that is included in the official list as an ASX Listing to include in its annual report either a corporate governance statement that meets the requirements of that rule or the URL of the page on its website where such a statement is located. The corporate governance statement must disclose the extent to which the entity has followed the recommendations set by the ASX Corporate Governance Council during the reporting period. Berkeley Energia Limited ( Berkeley or Company ) and the entities it controls believe corporate governance is important for the Company in conducting its business activities.

The Board has adopted a suite of charters and key corporate governance documents which articulate the policies and procedures followed by Berkeley.

These documents are available in the Corporate Governance section of the Company’s website, www.berkeleyenergia.com/corporate-governance/ . These documents are reviewed at least annually to address any changes in governance practices and the law.

This Corporate Governance Statement ( Statement ), which is current as at 30 June 2017 and has been approved by the Company’s Board, explains how Berkeley complies with the ASX Corporate Governance Council’s ‘ Corporate Governance Principles and Recommendations – 3rd Edition ’ ( ASX Principles or Recommendations ), which were published on 27 March 2014 in relation to the year ended 30 June 2017.
