Report Content Approval by the Turkish antitrust authority for the acquisition of 100%of shares in Mars Spor Kulb ve Tesisleri letmecilii A..Withreference to the report No. 14/2025 dated 10 March 2025, the ManagementBoard of Benefit Systems S.A. (the "Company") hereby informs that on 27March 2025 the Company received an information on issuing a decision bythe Turkish antitrust authority granting consent for the concentrationconsisting in the acquisition by the Company of 100% of the shares inthe share capital of Mars Spor Kulb ve Tesisleri letmecilii A..,with its registered office in Istanbul, Turkey.

Obtaining this consent constituted one of the conditions precedent forthe closing of the transaction referred to in the report No. 14/2025.

The Company will inform about further material stages of thetransaction, including fulfilment of all other conditions precedent, inseparate reports.
