Report Content Conclusion of final agreements for the acquisition of the Flais fitnessclub chain in Bulgaria

In relation to current report no. 37/2024 of 20 June 2024, and currentreport no. 49/2024 of 12 August 2024, the Management Board of BenefitSystems S.A. with its registered office in Warsaw (the _quot;Issuer_quot;) herebyinforms that on August 13, 2024, the Issuer's subsidiary - Next LevelFitness OOD with its registered office in Sofia, Bulgaria, as the buyer(the _quot;Buyer_quot;), concluded with Mr. Doychin Vaskov Dochev, Mr. ValeriDushkov Petrov, and entities which are theirs 100% subsidiaries, assellers (collectively _quot;Sellers_quot;), the final agreement for the sale ofshares, including certain assets, related to the Flais fitness clubnetwork in Sofia, Bulgaria (the _quot;Transaction_quot;).

As part of the Transaction, ultimately the Buyer became the owner of:

1) 100% of shares in the share capital of the following companies:Fitness Flais Corporation OOD, Power Ronic OOD, Happy Group 1 OOD,Fitness Flais Group OOD, Fitness Flais Pro OOD and Flais Fit OODoperating a total of 11 fitness clubs operating under the name _quot;Flais_quot;and having 1 fitness club under construction, all located in Sofia,

2) certain assets belonging to 6 fitness clubs (including 2 fitnessclubs under construction) located in Sofia and concluded new leaseagreements concerning these fitness clubs,

3) rights to the word and graphic trademark Flais.

Other conditions of the Transaction specified in the current report no.37/2024 of 20 June 2024 have not been amended.

The Transaction implements the Issuer's strategy, which assumesincreasing the number of fitness clubs in the markets in which theIssuer's group operates.
