Acquisition of an organized part of enterprise taking the form of afitness club from Mr Bartosz Gibała in performance of preliminaryagreementFurther to current report No. 4/2019 of 16 January,2019, the Management Board of Benefit Systems S.A. with its registeredseat in Warsaw (the "Issuer") hereby announces that in performance ofpreliminary conditional agreement for sale of organized part ofenterprise of 16 January, 2019, the Issuer and its subsidiary, i.e.Fitness Place sp. z o.o. with its registered office in Warsaw, acting inthe capacity of the purchaser, (the "Purchaser"), entered into agreementfor sale of organized part of enterprise taking the form of a fitnessclub located in the Małopolskie Voivodship at the price of PLN4,671,000.00 with Mr Bartosz Gibała, conducting his business activityunder the name of Bartosz Gibała Platinum with its registered seat inKraków (hereinafter, the "Agreement").

The ownership title to the aforementioned organized part of enterpriseshall be transferred to the Purchaser on 1 February, 2019, and it willnot require meeting of any condition.

Furthermore, in accordance with the Agreement, the Issuer has stoodsurety for all the obligations of the Purchaser arising from theAgreement up to the amount of PLN 3,671,000.00.

In connection with the acquisition of the aforementioned organized partof enterprise, the Purchaser has assumed the obligations directlyrelated to the business activity of the organized parts of enterprise inthe total amount not exceeding PLN 200,000.00 PLN.

The investment activities pursued by the Issuer and its subsidiaries areaimed at providing the sports cards users with broad access to the offerof attractive sports and recreation facilities and to the most popularsports and fitness sessions.
