BENCHMARK HOLDINGS PLC ("Benchmark" or the "Company")

DIRECTOR SHARE OPTIONS

Benchmark announces that on 19 April 2023, and in accordance with the inten�on disclosed in its Annual Report and Accounts published on 29 November 2022, op�ons over Ordinary Shares of 0.1 pence each in Benchmark ("Ordinary Shares") were granted to Trond Williksen, Chief Execu�ve Officer and Sep�ma Maguire, Chief Financial Officer, under the Company Share Op�on Plan (CSOP).

Op�ons over a total of 568,727 Ordinary Shares were granted to Trond Williksen; and op�ons over a total of 362,547 Ordinary Shares were granted to Sep�ma Maguire. Following this grant, Trond Williksen remains interested in 270,000 Ordinary Shares and holds op�ons over a total of 3,313,102 Ordinary Shares in the Company, represen�ng approximately 0.04% and 0.45% of Benchmark's exis�ng issued share capital respec�vely. Following this grant, Sep�ma Maguire remains interested in 342,028 Ordinary Shares and holds op�ons over a total of 2,155,837 Ordinary Shares in the Company, represen�ng approximately 0.05% and 0.29% of Benchmark's exis�ng issued share capital respec�vely.

The op�ons granted have excep�onally a ves�ng period of two years from 19 December 2022, may be exercised up to 18 December 2032, and have an exercise price of 0.1 pence per Ordinary Share.
