Item 7.01. Regulation FD Disclosure.

On May 7, 2009, the Board of Directors of Benchmark Electronics, Inc. resolved that it intends to submit for shareholder approval the Company’s rights agreement, as amended on December 10, 2008, during the Company’s 2010 annual meeting of shareholders .
