Publication of a transparency notification

(Article 14, first paragraph, of the Law of 2 May 2007 on disclosure of major holdings)

NV Bekaert SA ("Bekaert") has received a transparency notification dated 16 February 2016 indicating that an agreement to act in concert was terminated and that the threshold of 40% was crossed.

The notification dated 16 February 2016 contains the following information:

• Reason for the notification: termination of an agreement to act in concert;
• Notification by: the persons to the terminated agreement to act in concert (a) aimed either at acquiring control, at frustrating the successful outcome of a bid or at maintaining control, and (b) to adopt, by concerted exercise of the voting rights they hold, a lasting common policy.
• Persons subject to the notification requirement: Stichting Administratiekantoor Bekaert; the individual controlling Aliunde Ltd; Aliunde Ltd; the individual controlling Azem SA; Azem SA; the individual controlling Berfin SA; Berfin SA; the two individuals controlling Gedecor SA; Gedecor SA; the individual controlling Kamiclar SA; Kamiclar SA; the individual controlling Milennium 3 SA; Milennium 3 SA; the individual controlling Serilico SA; Serilico SA; the individual controlling Tersaet BVBA; Tersaet BVBA; the individual controlling Velge International SA; Velge International SA; the seven individuals controlling Zweve (société de droit commun); Zweve (société de droit commun); and twelve individuals. Each of the individuals has made the notification on an anonymous basis.
• Transaction date: 12 February 2016.
• Threshold that is crossed: 40%.
• Denominator: 60 125 525.

As a result of the above mentioned termination of an agreement to act in concert, the threshold of 40% was crossed downward. Stichting Administratiekantoor Bekaert holds on the date of the transparency notification 21 773 265 voting rights, being 36.21% of the total number of voting rights. Stichting Administratiekantoor is not controlled.

The parties to the previous agreement to act in concert have clarified to Bekaert that the termination of such agreement does not imply in any way an intention to change their shareholding in Bekaert, but that it is a formal step intended to accurately reflect the nature of the legal relationship between them.
