Notification of changes to concerted action and threshold crossing

On 27 February 2015 NV Bekaert SA ("Bekaert") has been notified of the following declaration in accordance with the Act of 2 May 2007:

Stichting Administratiekantoor Bekaert and various other legal and natural persons in their capacity as persons acting in concert who have concluded an agreement (a) aimed either at acquiring control, at frustrating the successful outcome of a bid or at maintaining control, and (b) to adopt, by concerted exercise of the voting rights they hold, a lasting common policy, have declared the following changes to their concerted action: (i) Stichting Administratiekantoor Bekaert has added 6 531 shares (which it acquired in exchange for certificates) to the concerted action; (ii) Aliunde Ltd has acceded with 51 852 shares to the concerted action; (iii) Azem SA has acceded with 179 000 shares to the concerted action; (iv) Gedecor SA has added 88 000 shares to the concerted action; (v) Kamiclar SA has acceded with 182 370 shares to the concerted action; (vi) the individual controlling Milennium 3 SA has acceded with 22 055 shares to the concerted action; (vii) Serilico SA has acceded with 114 000 shares to the concerted action; (viii) Tersaet BVBA has acceded with 1 200 shares and the individual controlling Tersaet BVBA has acceded with 58 443 shares to the concerted action; (ix) one of the seven individuals controlling Zweve (société de droit commun) has acceded with 200 000 shares to the concerted action; (x) an individual has acceded with 7 500 shares to the concerted action; (xi) an individual has acceded with 70 320 shares to the concerted action; (xii) an individual has acceded with 260 360 shares to the concerted action; (xiii) an individual has acceded with 45 200 shares to the concerted action; (xiv) an individual has acceded with 19 430 shares to the concerted action; (xv) an individual has acceded with 38 400 shares to the concerted action; (xvi) an individual has acceded with 100 637 shares to the concerted action; (xvii) an individual has acceded with 107 850 shares to the concerted action; (xviii) an individual has acceded with 78 582 shares to the concerted action; (xix) an individual acceded with 10 000 shares to the concerted action; (xx) an individual has acceded with 16 000 shares to the concerted action; and (xxi) an individual has acceded with 177 457 shares to the concerted action. None of these individuals, who all have made the declaration on an anonymous basis, holds 3% or more of Bekaert's voting rights. As a result of these changes the concerted action crossed the 40% notification threshold on 23 February 2015.

According to the transparency declaration received, the parties acting in concert hold, on the date hereof, the following participations in Bekaert (denominator: 60 111 405):

• Stichting Administratiekantoor Bekaert: 22 376 532 shares, i.e. 37.23%

• Individual controlling Millenium 3 SA: 22 055 shares, i.e. 0.04%

• Individual controlling Tersaet BVBA: 58 443 shares, i.e. 0.10%

• Velge International NV: 57 000 shares, i.e. 0.09%
• One of the seven individuals controlling Zweve (société de droit commun) : 200 000 shares, i.e. 0.33%
• Zweve (société de droit commun): 220 000 shares, i.e. 0.37%

Azem SA (Rue de la Chapelle 6A, 5640 Saint-Gerard, Belgium) is controlled by an individual. Berfin SA (Square Vergote 19, 1200 Brussels, Belgium) is controlled by an individual. Gedecor SA (Malaise 10, 5500 Dinant, Belgium) is controlled by two individuals. Kamiclar SA (Square Vergote 19, 1200 Brussels, Belgium) is controlled by an individual. Millenium 3 SA (Avenue Nestor Plissart 8, 1040 Brussels, Belgium) is controlled by an individual, through Charisa SA.
