No right to add agenda items and file resolution proposals

The agenda of the Extraordinary General Meeting of 9 April 2015 must be identical to the agenda of the first Extraordinary General Meeting held on 19 March 2015. Shareholders holding alone or together at least 3% of the share capital of NV Bekaert SA are therefore not entitled to add items to the agenda of the Extraordinary General Meeting of 9 April 2015 nor to file resolution proposals relating to items already on such agenda.
