APPROVAL BY THE CSRC IN RELATION TO THE ADDITIONAL ISSUE OF H SHARES

Reference is made to the announcement of Beijing Digital Telecom Co., Ltd. (the “ Company ”) dated 26 July 2019 in relation to, among others, the proposed issue of new H Shares to the Subscriber under the General Mandate by the Company (the “ Announcement ”). Unless the context otherwise requires, the capitalised terms herein shall have the same meanings as those defined in the Announcement.

On 19 November 2019, the Company received the “ Approval on the Issue of Overseas Listed Foreign Shares by Beijing Digital Telecom Co., Ltd.” (Zheng Jian Xu Ke [2019] No. 2283) 《關於核准北京迪信通商貿股份有限公司發行境外上市外資股的批覆》（證監許可( [2019] 2283 號）) issued by the China Securities Regulatory Commission (the “ CSRC ”), approving the additional issue by the Company of not more than 65,793,400 overseas listed foreign shares, all being ordinary shares with a nominal value of RMB1.00 each.

The Company will carry forward the subsequent work in relation to the issue in accordance with relevant laws and regulations as well as the requirements set out in the approval, and will fulfil its obligation of information disclosure in a timely manner based on the progress of relevant matters. Shareholders and potential investors are advised to exercise caution when dealing in the Shares.
