京能置业股份有限公司 ( 以下简称“公司”或“本公司” ) 以 2110.36 万元，将全资子公司宁夏京能创业房地产开发有限公司股权全部转让 给控股股东北京能源投资（集团）有限公司。

本公司董事会提醒投资者仔细阅读本关联交易公告。

上述事项属关联交易，根据《上海证券交易所股票上市规则》等 相关法律法规的规定，现将有关事项公告如下： 一、关联交易概述

1、经2009 年4 月7 日公司第五届董事会第三十二次临时会议审 议，在3 名关联董事回避表决的情况下，以5 票同意、0 票反对、0 票弃权，通过了公司关于转让宁夏京能创业房地产开发有限公司股权 的议案。

宁夏京能创业房地产开发有限公司注册成立于 2008 年 6 月；注 册资本 2000 万元；注册地银川市公园街 3 号；法定代表人吴宝忠； 主要负责开发建设宁夏宾馆改造项目（A 区）（以下简称“银川国贸

中心”）。截至 2008 年 12 月 31 日，资产账面价值为 81,050.79 万元， 评估价值为 81,534.65 万元；净资产账面价值为 1,626.50 万元，评估 价值为 2,110.36 万元。

本次转让完成后，本公司将不再持有宁夏京能创业房地产开发有 限公司股权。

2、本公司独立董事对此事项发表了事前认可意见：

独立董事认为：此议案中的有关事项符合法律法规的相关规定， 不存在有损公司利益及损害公司其他股东权益的情况。本次交易有利 于公司的持续发展，符合公司及全体股东利益。同意将此事项提交公 司第五届董事会第三十二次临时会议审议。

3、本公司独立董事对此事项发表了独立意见：

独立董事认为：公司召开本次董事会的会议程序，以及会议的审 议过程及表决情况均符合有关法律、法规及公司章程的规定。

北京能源投资（集团）有限公司为本公司的控股股东。

2、关联人基本情况

京能集团成立于 2004 年 12 月，由北京市综合投资公司和北京国 际电力开发投资公司合并重组后新设成立。该公司为北京市人民政府 出资设立并授权北京市国资委履行出资人职责的国有独资公司。注册 资本为：88 亿元人民币；法定代表人：陆海军；经营范围：法律、 行政法规、国务院决定禁止的，不得经营；法律、行政法规、国务院

决定规定应经许可的，经审批机关批准并经工商行政管理机关登记注 册后方可经营；法律、行政法规、国务院决定未规定许可的，自主选 择经营项目开展经营活动。

◇ 评估目的 ：确定宁夏京能创业房地产开发有限公司整体价值于评估基准日 所表现的市场价值，为北京能源投资（集团）有限公司收购股权提供价值参考依 据。

◇ 评估对象和评估范围 ：评估对象为宁夏京能创业房地产开发有限公司企业 整体价值。评估范围为评估对象涉及的资产及负债，包括流动资产、固定资产、无 形资产、流动负债、长期负债。
