Pursuant to Regulation 29 and 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI LODR”), we would like to inform you that the meeting of the Board of Directors of the Company is scheduled to be held on Tuesday, May 27, 2025 to consider and approve following businesses:

1. Fund raising by way of issue of securities, subject to approval from the shareholders and approvals from the other regulatory authorities, as may be required.

2. The Company to venture into new business.

3. Addition to the main object in the Memorandum of Association subject to approval of members and other statutory approval

4. To approve the Audited Standalone Financial Results of the Company for the quarter and financial year ended on March 31, 2025, along with the Statement of Assets and Liabilities and Statement of Cash Flow.

5. To take on record the Auditor’s Report on Audited Standalone Financial Results of the Company for the quarter and financial year ended on March 31, 2025.

6. To adopt Related Party Transaction pursuant to regulation 23(9) of SEBI (LODR) 2015 for the year ended March 31, 2025.

1. Cessation of Mr. Rohit Vijay Thorve (DIN: 07116102) as an Independent Director of the company due to expiry of the term.

2. Appointment of new Independent Director for the company.

The Company shall intimate to the exchange the Standalone Audited Financial Results upon the conclusion of the Board Meeting as required by SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Further, vide our letter dated March 24, 2025, we had intimated that the "Trading Window" for dealing in securities of the Company, shall remain closed for all the "Designated Persons and their immediate relatives" covered under Company's Code of Conduct for Regulating, Monitoring and Reporting of Trading by Insiders (Code of Conduct), from April 01, 2025 till 48 hours after the announcement of Audited Financial Results of the Company for year ended March 31, 2025.
