Dear Sir / Madam,

This is to inform you that, the Board of Directors of the Company at its meeting held on Friday, November 29, 2024 inter alia, has considered and approved the following:

1. Extra Ordinary General Meeting Notice of the Company for confirmation of appointment of Mr. Devdas Sunder Shanti, Non- Executive and Independent Director.

2. The e-voting period begins on Friday, December 20, 2024 at 10.00 a.m. and ends on Sunday, December 22, 2024 at 5.00 p.m. During this period, shareholders of the Company, holding shares as on the cut-off date i.e. Monday, December 16, 2024 may cast their vote electronically. The e-voting module shall be disabled by CDSL for voting thereafter.

3. The voting rights of members shall be in proportion to their share of the paid-up equity share capital of the Company as on the Cut-off Date i.e. Monday, December 16, 2024.

4. The facility for e-voting will also be made available during the EGM to those members who could not cast their vote(s) by remote e-voting.

5. The result of the e-voting shall be published by the Managing Director of the Company on Tuesday, December 24, 2024.

6. The Company has appointed M/s. MNB & Co. LLP, Practicing Company Secretaries as Scrutinizer to scrutinize the e-voting process.

1. Re-constitution of various Committees of Board of Directors due to appointment of Mr. Devdas Sunder Shanti w.e.f September 24, 2024.

Further, we hereby confirm that Mr. Devdas Sunder Shanti is not debarred from holding the office of director by virtue of any SEBI order or any other authority at the time of his appointment.
