This is to inform you that pursuant to regulation 30(2) of SEBI (LODR) Regulations, 2015, the Board of Directors of the Company at its meeting held on Monday, June 10, 2019 inter alia, has considered and approved the following:

1. Appointment of Mr. Adarsh Kapoor as Managing Director of the Company for a term of 3 years from June 10, 2019 to June 09, 2022. The said appointment will be subject to the approval of shareholders at the ensuing Annual General Meeting of the Company.

Further, pursuant to sub-regulation 2 of Regulation 30 read with clause 7 of Para A of Part A of the schedule III of SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015, Disclosures for Change in Directors and Key Managerial Personnel are as under:

1. Mr. Adarsh Kapoor is appointed as Managing Director of the Company. He holds a Master’s Degree in Business Administration (Marketing). He has over 25 years of experience in trading of Electric and Telecom Products.

2. He is not related to any other Director of the Company and is also not a Director in any other listed company. He or his relatives do not hold any shares in the Company.
