Item 1.01. Entry into a Material Definitive Agreement.

On January 17, 2017, the parties to the Five Year Credit Agreement, dated January 29, 2016 (the “Credit Agreement”), among Becton, Dickinson and Company, Citibank, N.A. as the administrative agent, and the lenders named therein, agreed to extend the expiration date of the Credit Agreement to January 29, 2022 in accordance with the terms of the Credit Agreement.
