1.01 Entry into a Material Definitive Agreement.

On April 22, 2014, the parties to the Five Year Credit Agreement (the “Credit Agreement”) among Becton, Dickinson and Company, Citibank, N.A., as administrative agent, The Bank of Tokyo-Mitsubishi UFJ, Ltd., as syndication agent, BNP Paribas and JPMorgan Chase Bank, N.A., as documentation agents, and the lenders named in the Credit Agreement, agreed to extend the expiration date of the Credit Agreement to May 2018 in accordance with Section 2.05 of the Credit Agreement.
