Bechtle AG achieves a 95% shareholding in PSB AG, Ober-Mörlen Ad-hoc-announcement transmitted by DGAP. The issuer is solely responsible for the content of this announcement. ——————————————————————————– Bechtle AG achieves a 95% shareholding in PSB AG, Ober-Mörlen Implementation of a squeeze-out intended Gaildorf, 19.05.2003. Bechtle AG on 19th April 2003 published the offer documents for their compulsory offer to acquire shares in PSB Aktiengesellschaft für Programmierung und Systemberatung (PSB AG) on payment of a consideration of Euro 6.40 in cash for each PSB share. The compulsory offer was accepted before 19.05.2003, 3.30 pm (CEST) for a total of 1,294,603 PSB shares. This is equivalent to 35.82% of the shares and voting rights in PSB AG. Bechtle AG itself currently holds 2,174,897 shares in PSB AG. This is equivalent to 60.18% of the shares and voting rights in PSB AG. The total number of shares in PSB AG for which the compulsory offer made by Bechtle AG was accepted before 19th May 2003, 3.30 pm (CEST), plus the total number of PSB shares that were held by Bechtle AG itself at this time, as a result amounts to 3,469,500 shares. This is equivalent to a shareholding of roughly 96.00% and thus more than 95% of the shares and voting rights in PSB AG. Bechtle AGs offer to the PSB AG shareholders, therefore, was accepted two days before the offer expired on 21.05.2003 at 12.00 noon (CEST), enabling a squeeze- out procedure to be implemented for PSB AG in accordance with §§ 327a ff. of the German Companies Act(AktG). Bechtle AGs intention, on completion of the compulsory offer, is now to request the Board of Management of PSB AG to implement the squeeze-out procedure.
