Pursuant to Regulation 29 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, notice is hereby given that a meeting of the Board of Directors of the Company will be held on Friday, the 10[th] February 2023, inter alia to consider a proposal for fund raising by way of issue of equity shares/ convertible warrants and/or any other instruments through preferential issue on a private placement basis, subject to such regulatory or statutory approvals as may be required and the approval of the shareholders of the Company.

Further, we wish to inform you that the Company proposes to seek Members’ approval for the said proposal in due course by way of Postal Ballot/ Extraordinary General Meeting.

Pursuant to the provisions of the SEBI (Prohibition of Insider Trading) Regulations, 2015, and the Company's Code of Conduct for Prevention of Insider Trading, the trading window for dealing in securities of the Company shall remain closed for all the Designated Persons viz. Directors, KMPs, designated employees of the Company including the immediate relatives of all the designated persons and for Connected Persons, which remains closed until 8[th] February 2023 for publishing financial results of the quarter ended 31[st] December 2022, will now continue to close upto 12[th] February 2023 i.e 48 hours from declaration of outcome of the board meeting.
