Subject: Approval of new set of Articles of Association (AoA) in complete replacement of the exiting AoA

Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that the Board of Directors, at its meeting held today i.e. on 12[th] August 2022, has approved Adoption of new sets of Articles of Association (AOA) of the Company containing regulations in conformity with the Companies Act, 2013, and recommended for shareholders approval at the forthcoming Annual General Meeting.

The existing Articles of Association (“AoA) of the Company based on the Companies Act, 1956, was last adopted in the year 1961, and no longer in conformity with the Companies Act, 2013. Several regulations of AoA require alteration/deletion. Considering above position, it is considered expedient to adopt a new set of Articles of Association (primarily based on Table F set out under Schedule I to the Companies Act, 2013) in place of existing AoA.

The above information along with the draft of the new set of AOA will be made available on the Company’s website, www.beardsell.co.in
