Item 2.02 Results of Operations and Financial Condition

On April 28, 2014, Berkshire Hills Bancorp, Inc. (the “Company”), the holding company for Berkshire Bank, announced its financial results for the period ended March 31, 2014. The news release containing the financial results is included as Exhibit 99.1 and shall not be deemed “filed” for any purpose.

On April 28, 2014, the Company announced a cash dividend of $0.18 per share to shareholders of record at the close of business on May 15, 2014, payable on May 29, 2014.
