Item 2.02 Results of Operations and Financial Condition

On January 30, 2017, Berkshire Hills Bancorp, Inc. (the “Company”), the holding company for Berkshire Bank (the “Bank”), announced its financial results for the quarter ended December 31, 2016. The news release containing the financial results is included as Exhibit 99.1 and shall not be deemed “filed” for any purpose.

The Company will conduct a conference call/webcast on January 31, 2017 to discuss the financial results for the quarter. A telephone replay of the call will be available through Tuesday, February 7, 2017. The webcast will be available on the Company’s website for an extended period of time.

Item 8.01 Other Events

On January 30, 2017, the Company’s Board of Directors declared a cash dividend of $0.21 per share to shareholders of record at the close of business on February 16, 2017 and payable on March 2, 2017. The cash dividend of $0.21 per share is an increase of 5% from the prior cash dividend.
