Item 2.02 Results of Operations and Financial Condition

On October 26, 2015, Berkshire Hills Bancorp, Inc. (the “Company”), the holding company for Berkshire Bank (the “Bank”), announced its financial results for the quarter ended September 30, 2015. The news release containing the financial results is included as Exhibit 99.1 and shall not be deemed “filed” for any purpose.

The Company conducted a conference call/webcast on October 27, 2015 to discuss the financial results for the quarter. A telephone replay of the call will be available through Friday, November 27, 2015. The webcast will be available on the Company’s website for an extended period of time.
