Beach Energy Limited (ASX Code: BPT) – Drillsearch Energy Limited (ASX Code: DLS) - Scheme of Arrangement

Description

Shareholders of Drillsearch Energy Limited (the “Company”) voted in favour of the Scheme of Arrangement (the “Scheme”) giving effect to the merger with Beach Energy Limited (“Beach”) at a meeting held on 27 January 2016. The Scheme was approved by the Federal Court of Australia on 18 February 2016.

Under the Scheme, shareholders in the Company will receive 1.25 Beach shares for every share in the Company held at the record date.

The following timetable applies to the Scheme:

27 January 2016	Scheme meeting held
18 February 2016	Court date to approve the Scheme
18 February 2016	Effective date – Court orders approving the Scheme lodged with ASIC and ASX
18 February 2016	Securities in the Company are suspended from trading on ASX at close oftrading (ASX Code: DLS)
19 February 2016	New Beach shares commence trading on a deferred settlement basis (ASXCode: BPTN)
25 February 2016	Record date for the Scheme
1 March 2016	Implementation date for the Scheme; Issue date
2 March 2016	New Beach shares commence trading on a normal settlement basis (ASX Code:BPT)
