Director Declaration

Further to the Group's announcement of 26 September 2016 that shareholders had, at BATM's annual general meeting, approved the appointment of Mr. Harel Locker as an external director (as required under Israeli law) of the Group, the following further information in respect of Mr. Locker is provided pursuant to Listing Rule 9.6.13.

Mr. Locker, aged 50, has over 15 years' experience as a commercial lawyer, working for prominent firms such as Danziger, Clagsbald & Co. in Tel Aviv and in the tax department for Fried, Frank, Harris, Shriver & Jacobson LLP in New York. In 2005, he co-founded Shohat, Locker & Co. in Tel Aviv where he was a managing partner until 2007 when the business was merged with S. Friedman & Co. and Mr. Locker became a senior partner. In 2011 he was appointed the Director General of the Israeli Prime Minister's Office and head of Prime Minister Benjamin Netanyahu's economic headquarters. After serving under two governments, Mr. Locker stepped down from the role shortly after the 2015 election.

Mr. Locker is the sole owner and director of his consultancy and investments company, Pitkrai Investments Ltd, which he established in 2015. Since 2015, he has been a director of Energin .R Technologies 2009 LTD. (NRGENE), a private genomic big data company in Israel that develops computational tools and algorithmic models to facilitate optimal trait discovery for seed companies, animal breeders and academia. Mr. Locker is currently an external director of Matomy Media Group Ltd. (LSE: MTMY). There is no further information required to be disclosed in relation to Mr. Locker pursuant to Listing Rule 9.6.13 and Mr. Locker does not have any beneficial interest in BATM's ordinary shares.
