BATIC Investment and Logistics Company announces that on Saturday, 01/05/2021, a Sale Purchase Agreement (SPA) was signed between BATIC Investment and Logistics Company (the Buyer), and Smart Parking Holding Company (the Seller) for the acquisition of 35.8% of the capital of Smart Cities Solutions Company for Telecom and Information Technology, as per the following terms:

• Seller: Smart Parking Holding Company (Limited Liability)

• Buyer: BATIC Investment and Logistics Company

• Duration of the agreement: four months from the date of signature

• Purchase Price: estimated at (SAR 107,874,812)(which will be reviewed and determined definitively by the Buyer after the financial advisor finalizes the evaluation report) and the Buyer (BATIC) shall pay the purchase price to the seller in two instalments as follows:

•Advance payment represents the amount of SAR 5,400,000

•Last payment after the completion of the transaction terms and conditions at an estimated value of (SAR 102,474,812)

• Approvals: Approval of the relevant official authorities.

•Financial Advisor: Al Jazira Capital (AJC) has been appointed to conduct the financial evaluation of the Smart Cities Solutions Company.

• Approvals: Approval of relevant official authorities Additional Information This acquisition comes in line with the strategic direction of BATIC Investment and Logistics Company to expand and increase the share of its domestic investments in the integrated services sector to keep pace with the revival and positive economic changes that Saudi Arabia is witnessing in its ambitious vision 2030.

This deal is to strengthen the position of BATIC and its subsidiaries on the map of leading companies in the Kingdom of Saudi Arabia and the Middle East in providing smart cities solutions and integrated services. It is to be noted, that BATIC has controlling shares in a number of companies that provide integrated and specialized services such as specialized transportation (refrigerated transportation, Cash in transit and gold transportation), security and safety services, as well as facilities management and maintenance.

It is worth mentioning that Smart Cities Solutions Company for Communication and Information Technology is a specialized company in providing advanced technical services and solutions for smart cities. The company offers a number of applications for cities (such as smart parking management and associated monitoring technology) according to the seven technologies that The World Bank has classified it for smart cities, to keep pace with global progress in the industry and apply it in Saudi cities.

In addition, Smart Cities Solutions Company for Communication and Information Technology has a 25 years contract/concession for developing, establishing and operating smart parking in three main cities in Saudi Arabis; Khobar, Dhahran and Dammam.
