NOTICE is hereby given that the 92nd (Ninety-second) Annual General Meeting (the "AGM" or the "MeetinQ") of the Members of Bala India Limited (the "Company12, 2025 at 1 1 :00 A.M. (1ST) through Video Conferencing (u) will be held on Tuesday, August UVC") or Other Audio Visual Means (�OAVM") lo transact the businesses as set out In the Notice convening the Meeting (the "Notice"). ln accordance with the Listing Regulations and the Circulars, the Notice alongwith the Annual Report including Audited _Financial Statements for the financial year ended March 3 1 , 2025 have been sent only through e-mails to those Members whose e-mail addresses are registered with the Company or the Registrar and Share Transfer Agent (the "RTA") Le., Mis. MUFG l ntime India Private Limited (formerly Link lntirne lndia Private Limited) or any of the Depositories or the Depository Participant(s)and holding equity shares of the Company as on Friday, July 1 1 , 2025. The Notice and the Annual Report are available on the website of the Company viz., www.bata.in and has also been forwarded to the Stock Exchanges wher�, Equity Shares of the Company are listed, enabling them to disseminate the same on their respective websites viz., www.n�eindia.com, www:bseindia.com and www.cse-india.com. The Notice shall also be available on the e-Voting website of the agency engaged for providing e.Voting facility, i.e., National Securities Depository Limited rNSDV), viz. , www.svoting.nsdl.com Members are requested to refer to the Newspaper advertisement dated July 8, 2025 issued by the Company and published on July 9, 2025 in "Financial Express" (English) and "Ekdin" (Bengali) for further details pertaining to the Meeting, Record Date and other details. The said advertisemenUs also available on the website of the Company and has also been forwarded lo the Stock EX.changes where Equity Shares of the Company are listed, enabling them to disseminale the same on their respective websites. Members are also informed hereby that: 1 . Pursuant to Section 1 08 of the Act and Rule 20 of the Companies (Management and Administration) Rules, 201 4 (as amended} and Regulation 44 of the Listing Regulations, the Company is pleased to provide e•Voting facllities through NSDL to its Members, in respect of the businesses to be transacted at the AGM. The manner and instructions to cast votes through remote e-Voting as well as through e-Voling system during thf:! Meeting have been provided atongwith the Notice.

1. The businesses set out in the Notice shall be transacted through e•Voting only. The Members, whose names appear in the Register of Members/List of Beneficial Owners as on Tuesday, August 5, 2025, being the cut-off date, shall be entitled to avail the e-Voting facility. Once vote(s) on Reso!ution(s)are cast by any Member, the same cannot be changed subsequently. The remote e-Voting w!II commence on Saturday, August 9, 2025 (9:00 A.M. ISD and will end on Monday, August 1 1 , 2025 (5:00 P.M. 1ST). The module of remote e-Voting shall be disabled by NSDL at 5:00 P.M. on Monday, August 1 1 , 2025. A person who is 11:01 a Member as on the cut-off date, I.e. Tuesday, August 5, 2025, should treat the Notice for information purpose only.

2. Members attending the AGM, who have not cast their votes by remote a-Voting, shall be eligible to exercise their voting rights during the AGM th roug h e·Voting system via www.evoting.nsdl.com Members who have exercised their voting rights by remote a-Voting prior to the AGM may also attend the AGM through VC or OAVM but shall not be entitled to cast their votes again during 1he AGM.

3. Any person, who acquires equity shares of the Company and becomes a Member after despatch of the Notice and holds shares as on the cut-off date, i.e., Tuesday, August 5, 2025 may obtain lhe login Id and password far e-Voting, by sending a request to NSDL at evoting @ nsdl.com or to the Company at share.dept@bata.c;om Members who are already registered with NSDL for remote e-Voting can use their existing User Id and Passwofd for e-Voting.

4. All documents referred to in the Notice and the Explanatory Statement thereto shall be made available for inspection by the Members of the Company, without payment of feas,upto and including the date of AGM. Members desirous of inspecting the same may send their requests at share.dept@bata.com from their registered e-mail addresses mentioning th9ir names and folio numbers I demat account numbers.
