याद्वारे सूचना देण्यात येते की, दि. २३ जानेवारी, २०१९ रोजीच्या टपाल मतदान सूचनेमध्ये निर्धारित ठरावास मंजूरी मिळविण्याकरिता, कंपनीचे (व्यवस्थापन आणि पशासन) नियम, २०१४ च्या नियम २० आणि २२ आणि सिक्युरिटीज ऑण्ड एक्सचेंज बोर्ड ऑफ इंडिया (सुवीबद्धता दायित्वे आणि प्रकटीकरण आवश्यकता) जियमज, २०१५ घे जियमन भ्रष्ट (तात्पुरत्या कालावधीकरिता लागू असलेली कोणतीही दुरुस्ती किंवा वैधानिक सुधारणा किंवा पुन:अंमलबजावणी समाविष्ट) सह वाचावयाच्या कंपनी कायदा, २०१३ च्या कलम ११० आणि इतर लागू तरतूदी, जर असल्यास, त्यानुसार, ज्या सदस्यांनी त्यांचा है-सेल पत्ता जोदणीकृत केला आहे त्यांना टपाल सतदान अर्जासह दपाल सतदानांची सूचना है-सेलद्वारे पाठविण्यात आली आहे आणि संबंधित स्पष्टीकरणात्मक विवरण आणि टपालखर्च आधीच भरणा केलेले स्व-पत्ता असलेले व्यवसाय प्रतिसाद पाकीट यासह टपाल मतदानाच्या सूचनेची भौतिक प्रत सर्व सदस्यांना त्यांच्या नोंदणीकृत पत्यावर स्पीड/ नोदणीकृत टपालाहारे पाठविण्यात आली आहे. शुक्रवार, ८ फेब्रुवारी, २०१९ रोजी ज्या सदस्यांची नावे सदस्य नोटपटामध्ये/ लाभाधी मालकांची यादी यामध्ये दर्शवितात अशा सर्व सदस्यांना टपाल मतदान अर्जासोबत टपाल मतदानाची सूचना कंपनीने पाठविली आहे. कंपनी सदस्यांना इलेक्ट्रॉनिक पद्धतीने मतदान करण्याचा हक्क वापरण्याची सुविधा पुरवित आहे. आणि टपाल मतदान सूचनेमध्ये निर्धारित कामकाज नॅशनल सिक्युरिटीज डिपॉझिटरी लिमिटेड (एनएसडीएल) द्वारे पुरविलेल्या ई-मतदान सेवांद्वारे करण्यात येईल.

ज्या सदस्यांना टपाल मतदान अर्ज प्राप्त झालेले नाहीत आणि ज्यांना ई-मेलद्वारे प्राप्त झाले आहेत आणि जे भौतिक मतदानाद्वारे मतदान करू इच्छितात ते टपाल मतदान अर्ज www.evoting.nsdl.com या लिंकवरुन किंवा कंपनीची वेबसाईट www.basf.com/in येथुन हाऊनलोह करू शकतात.

कंपनीच्या संचालक मंडळाने श्री. हेमंत शेट्ये, भागीदार, कंपनी सविव म्हणून काम पाहणारे , एचएस असोसिएट्स यांची कायद्यानुसार आणि न्याय्य आणि पारदर्शक पद्धतीने ई-मतदान आणि टपाल मतदानाद्वारे मतदान प्रक्रिया पार पाडण्याकरिता तपासणी अधिकारी म्हणून नेमणूक केली आहे.

कंपनी कायदा, २०१३च्या तरतुदी आणि नियमांनुसार तपशील खाली दिले आहेतः

• 1. टपाल मतदान सूचना पाठविणे पूर्णत्वाचा दिनांक : गुरुवार, दि. २१. फेब्रूवारी, २०१९
• 1. भौतिक मतपत्रिका मतदान आणि ई-मतदान सुरू होण्याचा दिनांक आणि वेळ : सोमवार, दि. २५ फेब्रुवारी, २०१९ रोजी भारतीय प्रमाणवेळ स. ९.०० वाजता.
• 1. भौतिक मतपत्रिका मतदान आणि ई-मतदान समाप्त होण्याचा दिनांक आणि वेळ : मंगळवार, २६ मार्च, २०१९ रोजी भारतीय प्रमाणवेळ सायं. ५.०० वाजेपर्यंत. त्यानंतर मतदानाकरिता ई-मतदान प्रक्रिया एनएसडीएल द्वारे बंद करण्यात येईल आणि त्यापश्चात प्राप्त झालेल्या कोणत्याही टपाल मतपत्रिका उत्तर प्राप्त झाले नाही अशारितीने वागविण्यात येतील.
• 1. टपाल मतदानावी सूचना आणि टपाल मतदान अर्ज कंपनीची वेबसाईट www.basf. com/in आणि www.evoting.nsdl.com येथे देखील उपलब्ध आहेत.

टपाल मतदान (ई-मतदान समाविष्ट) चा निकाल गुरुवार, २८ मार्च, २०१९ रोजी किंवा त्यापूर्वी जाहीर केला जाईल आणि कंपनीच्या नोंदणीकृत कार्यालय येथील सूचना फलकावर प्रदर्शित केला जाईल, सदर निकाल स्टॉक एक्सबेंज जेथे कंपनीचे भाग सूचीबद्ध आहेत. त्यांना सूचित करण्यात येईल आणि कंपनीची वेबसाईट www.bast.com/in आणि एनएसडीएल ची वेबसाईट www.evoting.nsdl.com येथे देखील प्रदर्शित केला जाईल. संचालक मंडळाच्या आदेशानुसार

NOTICE OF POSTAL BALLOT & E-VOTING FACILITY TO THE MEMBERS

Notice is hereby given that pursuant to the provisions of Section 110 and other applicable provisions, if any, of the Companies Act, 2013 read with
Rule 20 and 22 of the Companies (Management and Administration) Rules, 2014 and Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (including any amendment or statutory modification or re-enactment thereof for the time being in force), the Notice of Postal Ballot together with Postal Ballot Form have been sent by a mail to the Members who have registered their e-mail address and physical copy of the Notice of Postal Ballot together with relevant Explanatory Statement and postage prepaid self-addressed Business Reply Envelope have been dispatched to all the Members at their
Registered address through speed / registered post for seeking their approval for the resolutions set forth in the Postal Ballot Notice dated 23rd January, 2019. The Company has sent the Notice of Postal Ballot, along with the Postal Ballot Form to all the Members whose name appears in the Register of Members/ List of Beneficial Owners as on Friday, 8th February, 2019.

The Company is providing the facility to exercise the right to vote by electronic means to the Members and the businesses set out in the Notice of Postal Ballot may be transacted through the e-voting services provided by National Securities Depository Limited (NSDL).

Members who have not received Postal Ballot Form and those who have received by e-mail and wish to vote through physical Ballot can download the Postal Ballot Form from the link: www.evoting.nsdl.com or from the Company's website www.basf.com/in.

The Board of Directors of the Company have appointed Mr. Hemant Shetye.
1. Inter, Practising Company Secretary, HS Associates, as the Scrutinizer for conducting the voting process through Postal Ballot including e-voting in ancordance with the law and in a fair and transparent manner.

The details pursuant to the provisions of the Companies Act, 2013 and Rulest, are given hereunder:

• 1. Da te of completion of dispatch of Postal Ballot Notice: Thursday, 21st February, 2019
• 1. Date's and time of commencement of physical Ballot voting and e-voting:
     9.00 am IST on Monday, 25th February, 2019.
• 1. Date and time of end of physical ballot voting and e-voting: Up to 5.00 prin IST on Tuesday, 26th March, 2019. The e-voting process will be disabled by the NSDL for voting thereafter and any Postal Ballot Form received thereafter shall be treated as if reply has not been received.
• 1. The Notice of Postal Ballot and Postal Ballot Form is also available on the Comp any's website www.basf.com/in and www.evoting.nsdl.com

The result of Postal Ballot (including e-voting) shall be announced on or before Thursday, 28th March, 2019 and will be displayed on the notice board at the Registered Office of the Company.
