Sub: Clarifications regarding the announcement “BASF reaches agreement to divest its Production Site in Quincy, Florida to Clariant“ made on December 29[th] , 2021
We refer to your email dated December 30, 2021 seeking clarifications regarding the captioned subject line.
In this regard, we wish to inform you that the Asset Purchase Agreement was executed between BASF Corporation, USA (“Seller”) and Clariant Corporation, USA (”Buyer”) on December 27, 2021 for divestiture of BASF’s manufacturing site in Quincy, Florida and the associated attapulgite business. The Buyer do not belong to the promoter / promoter group / group companies of the Seller. The said transaction is not a slump sale and does not fall within the ambit of Related Party Transactions as it is between two unrelated parties. As mentioned, the transaction is subject to the approval of the relevant Competition Commission / Anti-trust Authorities and is expected to close in 2022.
