Sub: BASF to divest construction chemicals business to Master Builders Solutions India Private Limited

We refer to our earlier letter dated 23[rd] December, 2019 wherein we had intimated that BASF SE, Germany, Parent Company had decided to divest its construction chemicals business globally.

11[th] February, 2020 have approved the divestiture of construction chemicals business of the Company to Master Builders Solutions India Private Limited, wholly owned subsidiary of BASF SE, for a consideration of Rs. 5,951.6 million (on slump sale and at arm’s length basis), subject to the approval of the Shareholders of the Company, being a related party transaction, and such other approvals as may be required in this regard. For this purpose, the Board has also taken into consideration the valuation report issued by Deloitte Touche Tohmatsu India LLP.

The closing of the transaction is expected in the second quarter of the financial year 2020-21. The Company’s construction chemicals business, which forms part of the Surface Technologies segment, has generated sales of Rs. 484 crore for the year ended 31[st] March, 2019.
